What Happens When

This timeline outlines the exact sequence of events from the moment you decide to purchase a Forward Purchase Agreement through the 120-day holding period to the final sale of your Niche tokens.

Phase 1: The Agreement

1. Read Disclosures You begin by carefully reading the Offering Memorandum, The Fine Print in Plain English, and all Risk Disclosures. You must understand that this is an unregulated market and a bearer instrument.

2. Agree to Terms You formally acknowledge and agree to the Purchase Agreement terms, including the "As Is" nature of the purchase and the lack of regulatory recourse.

3. Determine Quantity You decide how many Niche tokens you wish to acquire.

• Example: You choose 100,000 Niche.
• Calculation: 100,000 × $0.55 = $55,000 + 3% Fee ($1,650) = $56,650 Total.

4. Subscribe You complete the Purchase Agreement [blocked] to formalize your purchase intent and rights to future token delivery.

Phase 2: The Transaction

5. Send Wire You wire the total funds ($56,650 in our example) to the Issuer's designated bank account. See wiring instructions below.

• Reference: Niche Purchase - [Your Name]

6. Set Delivery Date Upon receipt of your wire, the Issuer confirms payment and sets your specific Token Delivery Date (exactly 30 days from the receipt of funds).

Phase 3: The Delivery

7. Receive Market Invite When the Niche Marketplace is ready to launch, you will receive an exclusive invitation to join.

8. Join Market You accept the invitation and register on the Niche Marketplace.

9. Download Onli-You App You download the Onli-You App from https://www.onli.you/. This app creates your personal digital Vault, where your Niche tokens will be securely stored.

10. Get Token Delivery On your Token Delivery Date (30 days after wire receipt), the Issuer delivers your 100,000 Niche tokens directly into your Vault in the Onli-You App. You now physically possess the digital commodity tokens.

Important: A mandatory 120-day holding period begins immediately upon token delivery. During this time, you cannot sell your tokens on the Marketplace.

Phase 4: The Holding Period

Days 30-150: Mandatory Hold For 120 days after receiving your tokens, you must hold them in your Vault. This holding period reinforces Niche's utility characterization and ensures ecosystem participation rather than immediate speculation.

• Total Timeline: Approximately 150 days (6 months) from wire transfer to when you can first sell
• During Hold: You can use Niche for transactions within the Onli ecosystem, but cannot list them for sale on the Marketplace

Phase 5: The Sale

11. List for Sale After the 120-day holding period expires (Day 150+), you can list your Niche tokens for sale on the Marketplace.

• Price: You list at the fixed market price of $1.00.
• Transaction: A peer-to-peer buyer pays you directly. The Niche tokens leave your Vault and move instantly to theirs.
• Transaction Value: Using our example, selling 100,000 tokens at the fixed $1.00 price generates $100,000 in proceeds from your $56,650 purchase.

12. Record Change The change of ownership is permanently recorded in the Niche Oracle, the official registry of all Niche token transactions.
